Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Briefer platform and services ("Service") provided by Briefer Technologies AB, a Swedish limited liability company with organization number 559540-9144 ("Company", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Briefer is a Software-as-a-Service (SaaS) platform that provides automated investor relations and financial reporting services for startups and growth-stage companies. The Service includes web-based applications, data integration capabilities, and related functionalities.

3. User Accounts and Registration

3.1. To access certain features of the Service, you must register for an account and provide accurate, complete information.

3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3. You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. Use of Service

4.1. You may use the Service only for lawful purposes and in accordance with these Terms.

4.2. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service to transmit malicious code or harmful content
  • Violate any applicable laws or regulations

5. Third-Party Services and Integrations

Our Service relies on several third-party providers to deliver our functionality:

5.1. Supabase: Database, authentication and file storage. Hosted in the EU (Stockholm).

5.2. Railway: Application hosting (API, frontend, AI worker). Hosted in the EU (Amsterdam).

5.3. Cloudflare: CDN, DDoS protection and edge cache. Hosted in the EU.

5.4. Resend: Email delivery and open/click tracking. Hosted in the EU.

5.5. Mixpanel: Product analytics with pseudonymous user IDs; no names or email addresses. Hosted in the EU.

5.6. Stripe: Subscription billing. Hosted in the EU.

5.7. Anthropic: LLM inference. Located in the US, with zero data retention and no training on your data.

5.8. Cohere: Embeddings and reranking. Located in the US, with zero data retention and no training on your data.

5.9. Composio: Connector broker for services such as Slack, Gmail and Drive. Located in the US.

Transfers to US providers rely on Standard Contractual Clauses. The sub-processors that process personal data on your behalf are listed in Annex 3 of our Data Processing Agreement.

By using our Service, you acknowledge that your data may be processed through these third-party platforms in accordance with their respective terms and privacy policies. We are not responsible for the practices, policies, or performance of these third-party services.

6. Data Protection and Privacy

6.1. GDPR Compliance: As a Swedish company processing personal data, we comply with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and Swedish data protection laws.

6.2. We process personal data as both a data controller and data processor depending on the context of use. Where we act as your processor, our Data Processing Agreement applies. Our Privacy Statement (available at https://briefer.vc/privacy) details how we collect, use, and protect your personal data and forms an integral part of these Terms.

6.3. You have rights under GDPR including access, rectification, erasure, portability, and objection to processing of your personal data. For detailed information about your privacy rights and how we handle your data, please refer to our Privacy Policy. Contact us at [email protected] to exercise these rights.

6.4. Where Briefer processes personal data on your behalf, for example data about your shareholders, investors or contacts, Briefer acts as your processor under our Data Processing Agreement at https://briefer.vc/dpa. The Data Processing Agreement forms part of these Terms and prevails over them for the processing of personal data. A countersigned copy is available on request from [email protected].

6.5. Analytics and Service Improvement: By creating an account and agreeing to these Terms, you acknowledge that we use analytics services (specifically Mixpanel) to understand how our Service is used and to improve our offerings. This processing is based on our legitimate interest in maintaining and improving our B2B service (GDPR Article 6(1)(f)) and is necessary for contract performance (GDPR Article 6(1)(b)). Analytics data is processed on EU servers and includes usage patterns, feature interactions, and session information. You may object to analytics processing by contacting [email protected], though this may limit our ability to provide service improvements and support. For visitors to our marketing website who have not registered, we obtain explicit consent before enabling analytics cookies.

7. Artificial Intelligence and Automated Processing

7.1. AI Features: Our Service incorporates artificial intelligence systems to enhance functionality, including but not limited to data analysis, content generation, and automated insights.

7.2. AI Act Compliance: In accordance with Regulation (EU) 2024/1689 on artificial intelligence ("AI Act"), we implement appropriate measures for:

  • Risk assessment and mitigation for AI systems
  • Transparency and explainability where required
  • Human oversight of automated decision-making
  • Data governance and quality assurance

7.3. Automated Decision-Making: Where our Service uses AI for automated processing that may significantly affect your business operations, you have the right to request human review of such decisions.

7.4. We continuously monitor and assess our AI systems to ensure compliance with applicable regulations and maintain appropriate safeguards.

8. Intellectual Property

8.1. The Service and its original content, features, and functionality are owned by Briefer Technologies AB and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2. You retain ownership of any data or content you submit through the Service, but grant us a license to use such content as necessary to provide the Service.

9. Service Availability and Modifications

9.1. We strive to maintain high service availability but cannot guarantee uninterrupted access to the Service.

9.2. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

9.3. We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.

10. Payment and Billing

10.1. Certain features of the Service require payment of fees. All fees are exclusive of applicable taxes unless otherwise stated.

10.2. Payment processing is handled through Stripe, subject to their terms and conditions. All payment data is processed securely through Stripe's PCI-compliant infrastructure.

10.3. Fees are non-refundable except as required by applicable law or as otherwise specified in writing.

11. Limitation of Liability

11.1. To the maximum extent permitted by Swedish law, Briefer Technologies AB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.

11.2. Our total liability for any claims arising from or related to the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold Briefer Technologies AB harmless from any claims, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

13. Termination

13.1. We may terminate or suspend your account and access to the Service immediately if you breach these Terms.

13.2. You may terminate your account at any time by contacting us or through the account settings.

13.3. Upon termination, your right to use the Service will cease, and we may delete your data in accordance with our data retention policies.

14. Governing Law and Dispute Resolution

14.1. These Terms are governed by Swedish law without regard to conflict of law principles.

14.2. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the Swedish courts, with Stockholm District Court as the court of first instance.

16. Miscellaneous

16.1. These Terms constitute the entire agreement between you and Briefer Technologies AB regarding the Service.

16.2. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
